1. Acceptance of Terms and Corporate Authority

By registering an account or submitting solar design layouts on our Platform, you warrant that you possess the lawful corporate authority to bind your organization to these Terms. If you do not agree to these Terms, you must immediately cease all Platform use.

2. Platform Usage and Security Custody

Users must register a corporate account to utilize our advanced solar yield simulations and credit underwriting tools. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or data security incidents.

3. Technical Design and Credit Valuations

All smart mapping layouts, energy yield forecasts, and operational project simulations produced by the Platform are models based on regional meteorological averages and sample engineering structures. While we strive for extreme accuracy:

• Yield calculations are estimates and do not guarantee actual generation outputs under local weather anomalies.
• Credit pre-approval notifications generated on the Platform are preliminary evaluations and do not constitute an absolute obligation to proceed until official transaction documents (e.g., service agreements, leases) are signed by our project managers.

4. Intellectual Property Rights

The Platform, including its underlying source code, smart mapping engines, yield forecasting models, user interface, brand assets, and custom logo marks, is owned exclusively by AfriBeam and is protected by copyright, trademark, and trade secret laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for your company’s commercial solar operations.

5. Compliance and Prohibited Uses

You agree not to use the Platform to upload false project specs, coordinate fraudulent project applications, reverse-engineer our yield-prediction source code, or deploy any scraping tools to extract proprietary solar market insights.

6. Limitation of Liability and Warranties

THE PLATFORM AND ALL ESTIMATES ARE PROVIDED ”AS IS” AND ”AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFRIBEAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR GENERATION YIELD, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

7. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with local arbitration rules.
